General Conditions of Sale and Delivery Arichemie GmbH - as at September 2005

 

§ 1 General

1.The terms and conditions set out below shall form part of the agreement concluded with us unless otherwise agreed in writing.

2.Our General Terms and Conditions of Sale shall apply in accordance with the most recent version and to all subsequent transactions without any need of express reference thereto or agreement thereon at the conclusion of such transaction.

3.We hereby object to any counter confirmation, counter offer or other reference by the Buyer to its general terms and conditions; any dissenting terms and conditions of the Buyer shall only apply if we have confirmed the same in writing.

4.The Buyer may not assign any claims arising from transactions with us without our written approval.

§ 2 Offers, Orders

1.Our prices shall exclude any statutory VAT which shall be payable at the date of delivery.

2.Orders placed by the Buyer shall not be regarded as accepted before these have been confirmed to us in writing. If we should fail to confirm an agreement in writing which we have entered into verbally or in a telephone conversation, then our invoice shall be regarded as confirmation.

§ 3 Prices, Weight

1.Our prices shall exclude any statutory VAT which shall be payable at the date of delivery.

2.If, as a result of a change of law between the agreement date and the delivery date, additional or increased charges - in particular duties, levies, currency compensation payments, shall be payable, then we shall have the right to increase the purchase price accordingly. The same shall apply to any fees for examination.

3.The purchase price shall be based on the weight as determined at the loading. A customary weight decrease during transport shall be at the risk of the Buyer.

4.In the case of deliveries not made in our standard barrels, we charge a packaging surcharge. Express costs are charged to the customer.

§ 4 Quantity, Quality, Labelling

1.Unless otherwise agreed or confirmed by us in writing, the quality of the goods shall be in accordance with customary trade practice.

2.We reserve the right to make minor alterations to stated sizes, weights, composition and quality. The same applies to customery or technical related variance in the sale of samples.

3.The goods shall no be regarded as packed and labelled for the end user as defined by the food labelling laws.

§ 5 Shipment, Delivery

1.Risk is transferred to the customer immediately upon hand-over of the goods to the carrier (sale by delivery to a place acc. sec. 447 german civil code).

2.The goods shall be transported uninsured and in any event at the risk of the Buyer. This shall also apply in cases of any delivery free of charge and regardless of which means of transport shall be used. Any transport insurance shall be provided only upon express demand of the Buyer. Any costs arising therefrom shall be at the expense of the Buyer only.

3.The selection of the place of dispatch and the transport route and the means of transport shall, in the absence of any written arrangement dictating otherwise, be subject to our reasonable discretion and be without liability for the cheapest and fastest transport.

4.If the Buyer provides the means of transport, then its shall responsible for its availability on time. We shall immediately be informed of any delays. Any costs arising therefrom shall be at the expense of the Buyer.

5.We shall have the right to reasonable delivery in instalments.

6.Our delivery obligation shall at all times be subject to timely and orderly receipt of the goods from our own suppliers.

7.Unless otherwise expressly agreed in writing, any indicated time of delivery or unloading shall be non-binding.

8.Any inability to supply as a result of force majeure or other unforseen incidents, outside our responsibility including, without limitation, strike, lock out, acts of public authorities, subsequent cease of export or import opportunities and our reservation of timely supply from on own supplies in accordance with subsection 6 above shall, for their duration and in accordance with their impact, relieve us from the obligation to comply with any agreed time for delivery and unloading.

9.If any agreed time of delivery or unloading shall be exceeded and there shall be no incident referred to in subsection 8 above, then the Buyer must specify to us a reasonable cure period of minimum two weeks. If we shall fail to meet such deadline also, then the Buyer shall have the right to rescind the agreement but shall have no right to seek compensation for breach of contract or default unless in cases of wilful misconduct or gross negligence on our part.

10.We take back transport packaging, at the customer’s coast, as long as the customer does not decline this service.

§ 6 Duty to Inspection and Objection

1.Upon delivery at the agreed destination or (in the event of self supply) upon taking possession, the Buyer shall immediately

a) check quantities, weight and packaging and record any objections thereto on the delivery note or consignment note and

b) conduct a quality check representatively on a spot check basis.

2.Any defects or quality discrepancies concerning goods delivered, or any deliveries of goods other than those stipulated, are to be notified to us not later than 14 days after receipt of the goods. Concealed defects are to be notified to us immediately upon their discovery, in writing. Any notice by telephone conversation shall not be accepted. Any notice of sales representatives, commission agents or agents shall not be valid.

The notice must clearly specify the kind and amount of the alleged defect.

3.The Buyer agrees to make available for inspection the objected goods at the place of inspection; such inspection may be done by us, our suppliers or any expert we may have designated.

4.Any good to which objections shall not have been raised in accordance with the procedures and deadlines set out above shall be regarded as approved and accepted.

Moreover, right to object shall cease to exist, when the Buyer has mixed, used or resold the goods delivered or shall have started its processing.

§ 7 Warranty, Limitation of Liability, Principal's obligation to check

1.In the case of valid complaints, we will supply the shortfall or rework or take back or exchange the goods, or allow the customer an appropriate price discount, as we see fit. Should delects also be discovered in any replacement delivery, then the customer may return the goods or demand a reduction of price.

2.The Buyer shall not be entitled to any further rights or remedies. In particular, we shall not be responsible for any compensation based on breach of contract or default unless the goods shall lack a characteristic that we shall have expressly guaranteed or in cases of wilful misconduct or gross negligence on pur part. Our liability is limited to any forsseable damage resulting therefrom.

3.It is further anticipated that, prior to providing his offer, the buyer has verified the accuracy and admissibility of the object of sale in respect of his purposes. Furthermore every time before using the delivered goods the buyer has to check on his own responsibility the compatibility of the delivered goods with his own products.

If the buyer fails to perform this check of quality and compatibility, we are not liable for consequential, incidental, indirect and special damages arising from this omission.

§ 8 Payment

1.Our purchase price claims are net cash amounts and payable free of any deduction upon receipt of the invoice unless other payment terms shall have been agreed. Payment is only considered to have been validly made at such time as we are able to freely dispose of the proceeds at a bank.

2.We only accept promissory notes and cheques on account of payment. Any fees for discount bills or promissory notes shall be at the expense of the buyer and immediately payable.

3.In the case of delay in payments we charge interest after due date at a rate of eight points above the base rate pursuant to section 247 of the german civil code (see www.bundesbank.de - interest rates).

4.If the customer stops payment or if it seems to us that there is a danger of no payment being made, we are entitled to demand advance payment or provision of security.

5.The Buyer shall have no right to set off, retention or reduction unless the underlying counterclaims have been conclusively determined by a court or expressly acknowledged by us.

§ 9 Retention of Title

1.We retain ownership of goods delivered until such time as the customer has fully reimbursed us vis à vis all demands arising from the transactions conducted. Processing and carrying out work upon the conditionally delivered goods is carried out without any obligation on our part, as manufacturer. If goods are processed or amalgamated with other goods then we receive joint ownership of the newly produced goods to the ratio of the invoice value of the conditionally delivered goods to that of the other materials.

2.If payment of our claims appears to us to be in jeopardy, or if the Buyer shall be in breach of contract, then it shall, upon our demand and according to our fix and appropriate time limit, immediately return to us all goods delivered unter retention of title. The taking back of conditionally supplied goods does mean a withdrawal from the contract. The levy of execution of conditionally supplied goods does mean a withdrawal from the contract.

After taking back the goods, we are entitled to sell and exploit the goods. The profit will be accounted for the debts of the Buyer after deducting proper amount due to the costs of utilization.

3.As a precaution, the customer assigns to us, in advance, his claims resulting from the selling-on of the conditionally delivered goods proportionate to our ownership share.

4.Should the value exceed the value of the securities of our claims by more than 10 %, then, in this respect, upon the request of the customer, we release the securities of our choice.

§ 10 Final Provisions

1.The place of performance for deliveries and payments shall be the place of our corporate domicile.

2.For our benefit, the courts of Königstein or Frankfurt am Main (depending on the value in dispute) shall have jurisdiction over all disputes arising from this agreement. However, we may also select a different place of jurisdiction.

3.The laws of Germany shall apply. International purchase laws shall not apply. This shall, in particular, refer to the UN Convention (CISG) on the International Sale of Goods.

4.Claims of the Buyer for compensation due to a defect of the goods fall under the statute of limitations within one year after delivery. Excepted are claims due to injury of life or personal injury or in cases of wilful misconduct or gross negligence on our part. In other respect all claims arising from this contract fall under the regulary german statute of limitations according to section 195 german civil law.

5.The invalidity of any provision of these general terms and conditions of sale shall not affect the validity of the other provisions. Invalid provisions shall be deemed to be replaced by such valid provisions that shall be suitable to implement the economic purpose of the deleted provision to the greatest extent possible.

6.We have stored data of the Buyer on accordance with the German Data Protection Act.
